TRANSACTIONS IN OWN SECURITIES

Vodafone Group Plc ("Vodafone") announces today that it has purchased the
following number of its ordinary shares of 20 US cents each from Morgan
Stanley & Co. International Plc. Such purchase was effected pursuant to
instructions issued by Vodafone on 15 May 2024, as announced on 15 May 2024
(the "Programme"):
Date of purchase: 20 June 2024
Number of ordinary shares purchased: 293,980
Highest price paid per share (pence): 72.26
Lowest price paid per share (pence): 71.56
Volume weighted average price paid per share (pence): 71.78
Vodafone intends to hold the purchased shares in treasury. Following the
purchase of these shares, Vodafone holds 2,036,074,450 of its ordinary shares
in treasury and has 26,782,609,488 ordinary shares in issue (excluding
treasury shares).
As part of the Programme, Morgan Stanley & Co. International Plc.
purchases Vodafone (213800TB53ELEUKM7Q61) ordinary shares and sells such
shares to Vodafone. In connection with the above purchases, on 20 June 2024
Morgan Stanley & Co. International Plc. (as riskless principal) elected to
purchase 293,980 Vodafone ordinary shares to sell to Vodafone. A schedule of
individual trades carried out by Morgan Stanley & Co. International Plc.
on 20 June 2024 is set out below.
