PUBLICATION OF CIRCULAR

 

 

On 14 July 2023, the Board of Triple Point Income VCT plc (ticker: TPVE)
announced that it was recommending that the Company be placed into members'
voluntary liquidation (the "Proposal").

 

Today, the Company announces that a circular in relation to the Proposal (the
"Circular") has been published by the Company.

 

The Circular sets out the proposals in full and provides a notice of a general
meeting of the Company to be held on 1 September 2023 at 10.00 a.m. at 1 King
William Street, London, EC4N 7AF, United Kingdom ("General Meeting") to
consider the resolutions to approve the Proposal.

 

It is proposed that Asher Miller and Stephen Katz, both licensed insolvency
practitioners of Begbies Traynor (London) LLP, Pearl Assurance House, 319
Ballards Lane, Finchley, London, N12 8LY, be appointed joint liquidators of
the Company (the "Liquidators"). The winding-up of the Company will be a
solvent winding-up in which it is intended that all creditors will be paid in
full. The appointment of the Liquidators becomes effective immediately upon
the passing of Resolution 1 at the General Meeting, at which point the powers
of the Directors will cease.

 

To facilitate the implementation of the Proposals, the E Share Class will be
suspended from listing on the Official List and from trading on the London
Stock Exchange with effect from 7.30 a.m. on 1 September 2023, being the date
of the General Meeting.

 

If Resolution 1 is subsequently passed at the General Meeting, this will also
result in the cancellation of the listing of the E Share Class on the Official
List and the shares ceasing to trade on the London Stock Exchange. It is
expected that the cancellation of listing and trading would take effect from
8.00 a.m. on 4 September 2023.
