Publication of Final Terms

 

The following Final Terms are available for viewing:

 

The Toronto-Dominion Bank has issued GBP 800,000,000 Floating Rate Covered
Bonds due June 11, 2029 (the "Series CBL72 Covered Bonds") pursuant to its CAD
$80,000,000,000 Global Legislative Covered Bond Programme, unconditionally and
irrevocably guaranteed as to payments by TD Covered Bond (Legislative)
Guarantor Limited Partnership (the "Programme").

 

The following documents constitute the final terms dated June 7, 2024 relating
to the issue of Series CBL72 Covered Bonds (the "Final Terms") for the purpose
of Article 8 of Regulation (EU) 2017/1129, as amended, as it forms part of
United Kingdom domestic law by virtue of the European Union (Withdrawal) Act
2018, as amended, and must be read in conjunction with the Prospectus dated
June 30, 2023, as supplemented by a 1(st) combined supplementary prospectus
dated August 25, 2023, by a 2(nd) combined supplementary prospectus dated
December 6, 2023, by a 3(rd) combined supplementary prospectus dated 1 March
2024 and by a 4(th) combined supplementary prospectus dated 24 May 2024  (the
"Prospectus"). Complete information on The Toronto-Dominion Bank and the
offering of Series CBL72 Covered Bonds can only be obtained by reading the
relevant Final Terms together with the Prospectus.

 

UK MiFIR and MiFID II professional investors / ECPs only / No PRIIPs KID -
Manufacturer target market (UK MiFIR product governance and  MiFID II product
governance) is eligible counterparties and professional clients only (all
distribution channels). No PRIIPs key information document (KID) has been
prepared as not available to retail in the EEA or UK.

 

The Final Terms have been submitted to the National Storage Mechanism and will
shortly be available for inspection at:

The Final Terms have been filed with the Financial Conduct Authority and are
