The Toronto-Dominion Bank has agreed to issue EUR 1,000,000,000 Floating Rate
Senior Notes due September 2027 (the "Notes") pursuant to its
U.S.$40,000,000,000 Global Medium Term Note Programme (the "Programme").

 

The following documents constitute the final terms in respect of the Notes
dated 6 September 2024 (the "Final Terms") and relating to the admission to
trading of the Notes for the purposes of Article 8 of Regulation (EU)
2017/1129 as it forms part of domestic law by virtue of the European Union
(Withdrawal) Act 2018 and must be read in conjunction with the Prospectus
dated 31 July 2024, as supplemented by the first combined supplemental
prospectus dated 27 August 2024 and the first GMTN supplemental prospectus
dated 30 August 2024 relating to the Programme (together, the "Prospectus").
Full information on The Toronto-Dominion Bank and the offer of the Notes is
only available on the basis of the combination of the Final Terms and the
Prospectus.
