REPURCHASE AND CANCELLATION OF SENIOR NOTES
Xingtao Assets Limited's 3.3% Senior Notes in an aggregate principal amount of €1,000,000,000 due 2022 (ISIN: XS1114393116, common code: 111439311) (the "2022 Notes") are listed on the Irish Stock Exchange Plc trading as Euronext Dublin (the "Euronext Dublin"). The Euronext Dublin assumes no responsibility for the correctness of any of the statements made, opinions expressed or reports contained herein. Admission to the Official List of, and listing and quotation of the 2022 Notes on, the Euronext Dublin are not to be taken as an indication of the merits of the 2022 Notes.
Pursuant to the terms of the 2022 Notes, holders of the 2022 Notes have the right, at their option, to require Xingtao Assets Limited to repurchase for cash of their 2022 Notes on October 9 of each year, commencing on October 9, 2016. From October 9, 2016 to October 9, 2019, the total cumulative principal amount of the 2022 Notes repurchased at the option of holders of the 2022 Notes was €136,000,000.
In addition, Xingtao Assets Limited made repurchases of the 2022 Notes through privately negotiated transactions. The total cumulative principal amount of the 2022 Notes repurchased and to be cancelled was €70,000,000.
As of February 26, 2020, Xingtao Assets Limited had received confirmation that the cancellation of the repurchased 2022 Notes had been completed. After cancellation of the above repurchased 2022 Notes, the principal amount of 2022 Notes that remains outstanding is €794,000,000.
