Change of Auditor

Codex Acquisitions plc (LSE: CODX) (the "Company") announces that Johnsons
Chartered Accountants have been appointed by the Company as auditor of the
Company with immediate effect for the financial year ended 31 December 2023
and PKF Littlejohn LLP has given notice to the Company of their resignation as
auditor of the Company.

PKF Littlejohn LLP have confirmed that there are no circumstances connected
with their resignation which they consider should be brought to the attention
of the Company's members or creditors in accordance with Section 519 of the UK
Companies Act 2006 (as amended). The board of directors of the Company would
like to thank PKF Littlejohn LLP for the work they have carried out.

The handover of files from PKF Littlejohn LLP to Johnsons Chartered
Accountants has been completed.

Shareholder approval to confirm Johnsons Chartered Accountants' appointment
will be sought at the next Annual General Meeting of the Company.

For the purposes of UK MAR, the person responsible for arranging release of
this announcement on behalf of the Company is Julio Perez, Non-Executive
Director.
