Bank of Ireland announces that Ms Eileen Fitzpatrick will retire as an
Independent Non-Executive Director at the 22 May 2025 AGM, having served on
the Board since May 2019.

During her tenure on the Board, Eileen has served as a member of the Board
Audit, Remuneration, and Nomination & Governance Committees, and more
recently held the role of Sustainability Committee Chair.

Eileen was the inaugural holder of the Board's Workforce Engagement Director
role from January 2020 to February 2024 establishing a firm foundation that
continues to be built upon in ensuring, in conjunction with the Group CEO,
that the views and interests of colleagues are considered in Board
discussions.

Eileen was also appointed as a Group nominee on the Board of Davy and as Chair
of its Risk and Compliance Committee following the acquisition of Davy by Bank
of Ireland in 2022 and she has agreed to remain on the Davy Board for a brief
period to facilitate conclusion of related succession activities.

Ms Margaret Sweeney, who joined the Board in October 2023, will succeed Eileen
as the Sustainability Committee Chair.

Bank of Ireland Chairman, Mr. Akshaya Bhargava, acknowledged Eileen's
contribution to the Board since her appointment in 2019, saying that "Eileen
has made a significant contribution to the Group across the wide range of
roles held during her tenure and her considered perspective has greatly
benefited the Board and colleagues at both Bank of Ireland and Davy".

This announcement is made in accordance with Rule 6.1.5 of the Euronext Dublin
Listing Rules and Rule 6.4.6 of the London Stock Exchange's Listing Rules.
