SMITH & NEPHEW PLC

 

Further to the announcements made on 2 November 2023 and 28 March 2024,
Smith+Nephew (LSE: SN, NYSE: SNN), the global medical technology business,
announces that following the end of her employment, Anne-Françoise Nesmes
will be treated in accordance with the 2023 Remuneration Policy (the Policy)
and her contract of employment following the end of her employment on 1 May
2024.

As Anne-Françoise provided the Board with significant advance notice of her
intention to step down, has evidenced dedication to her role and supported the
transition to John Rogers as incoming Chief Financial Officer, the
Remuneration Committee has exercised its discretion to treat Anne-Françoise
as a Good Leaver for the purposes of unvested PSP awards for 2021, 2022 and
2023.

Anne-Francoise will remain subject to post-employment shareholding
requirements as set out in the Policy.

Full details will be disclosed in the Directors' Remuneration Report for the
relevant year.
